Terms governing your relationship with SyllabusX services and events.

Acceptance of These Terms

These Terms & Conditions, together with any event-specific registration terms, refund policy, privacy notices, sponsor or exhibitor terms, codes of conduct, registration confirmations, speaker agreements, venue rules, and other rules or policies referenced by SyllabusX, form a legally binding agreement between you and SyllabusX. In these Terms, "SyllabusX," "we," "us," and "our" mean SyllabusX, located at 1900 Campus Commons Drive #100, Reston, VA 20191, unless another SyllabusX entity is identified for a specific event or transaction.

By accessing or using the SyllabusX website, registering for an event, submitting a form, purchasing a ticket or event pass, sponsoring or exhibiting at an event, speaking at an event, moderating or chairing a session, attending an event, participating in a virtual or hybrid event, downloading materials, or otherwise interacting with SyllabusX, you agree to be bound by these Terms. If you register, purchase, submit information, sponsor, exhibit, or participate on behalf of another person or organization, you represent that you have authority to bind that person or organization and that you will make the applicable participant aware of these Terms.

If you do not agree to these Terms, you must not use the SyllabusX website, submit forms, register for events, attend events, speak at events, sponsor or exhibit at events, or use SyllabusX services.

Scope of These Terms

These Terms apply to the SyllabusX website, event websites, registration pages, contact forms, newsletters, downloadable resources, conference registrations, seminars, webinars, virtual events, hybrid events, in-person events, sponsorship and exhibitor interactions, mobile or online event platforms, speaker participation, and any other products or services offered by SyllabusX unless separate written terms apply.

If an Event has event-specific terms, sponsor terms, exhibitor terms, hosted-buyer terms, speaker agreement, moderator agreement, master-of-ceremonies agreement, chairperson agreement, venue rules, or registration rules, those additional terms apply in addition to these Terms. If there is a conflict, the event-specific, role-specific, or transaction-specific terms will control for that Event, role, or transaction.

Changes to These Terms and Event Details

SyllabusX may update these Terms from time to time. The updated version will be posted on the Website with a revised effective date or last-updated date. Your continued use of the Website, submission of forms, registration for Events, or participation in Events after updated Terms are posted constitutes acceptance of the updated Terms to the extent permitted by applicable law.

SyllabusX may make changes to any Event at any time, including changes to the date, time, agenda, program, speakers, sessions, sponsors, exhibitors, venue, platform, format, admission requirements, security procedures, and Event content.

Eligibility, Registration, and Verification

Registration for SyllabusX Events may be subject to eligibility verification, approval, availability, payment confirmation, security screening, professional qualification, invitation status, sponsor or exhibitor approval, student-status verification, or other criteria established by SyllabusX for the applicable Event, including the participant's standing in relation to SyllabusX, its sponsors, customers, principals, stakeholders, or Event objectives. SyllabusX may accept, reject, cancel, or revoke any Registration in its discretion to the fullest extent permitted by law.

You agree to provide accurate, current, and complete information when registering, purchasing, submitting a form, speaking, sponsoring, exhibiting, or communicating with SyllabusX. You are responsible for errors in your name, title, organization, address, telephone number, email address, fax number, dietary request, payment information, badge information, or other submitted information. SyllabusX is not responsible for losses, delays, denied entry, typographical errors, inaccurate badges, incorrect Event materials, or missed communications resulting from inaccurate or incomplete information provided by you.

All Participants may be required to present a valid government-issued photo identification, business card, student identification, registration confirmation, badge, QR code, or other credential before receiving credentials or accessing an Event. Badges, passes, tickets, credentials, QR codes, and login details are personal to the registered Participant and may not be shared, sold, assigned, transferred, copied, reproduced, or used by any other person except as expressly permitted by SyllabusX in writing.

Age Limits, Student Registrants, and Minors

Unless otherwise stated for a specific Event, SyllabusX Events are intended for professional audiences. No person under the age of 16 is permitted in exhibit halls, conference sessions, networking areas, or other Event spaces without SyllabusX's prior written approval. For some Events, SyllabusX may require Participants to be at least 18 years old.

Student registrants may be required to show a valid student identification card, school-issued documentation, institutional verification, or other proof of eligibility before receiving credentials or accessing an Event. For education-focused Events or student programs where minors may be permitted, SyllabusX may require parent, guardian, school, or organizational authorization and may impose additional supervision, identification, safety, and consent requirements.

SyllabusX does not knowingly collect personal information from children under the age of 13 through the Website or Event registration forms without legally sufficient consent. If you believe a child under 13 has provided personal information to SyllabusX without appropriate consent, please contact info@syllabusx.com.

Payment, Registration Fees, and Electronic Delivery

Registration fees, sponsorship fees, exhibitor fees, documentation fees, and other charges are generally due prior to the Event or are due as stated during registration, invoicing, or contracting. SyllabusX may withhold Event credentials, access, confirmations, sponsorship benefits, exhibitor benefits, speaker benefits, or documentation until payment is received and verified.

SyllabusX registration is generally electronic only. After completing registration online or submitting an approved registration form, you should receive a confirmation email summarizing your registration details. You should retain the confirmation for your records. If you do not receive confirmation within a reasonable time before the Event, you should contact info@syllabusx.com.

Payment transactions may be processed through third-party payment processors. Unless otherwise stated, no physical goods are shipped in connection with conference registration. Conference documentation, if purchased or included, may be provided electronically or made available after the Event according to the timeline stated for the applicable Event.

Refund Policy, Delegate Cancellations, and Substitutions

Registration cancellation requests must be sent in writing to info@syllabusx.com at least 30 calendar days before the Event to qualify for a refund. Approved refunds may be subject to a 5% administrative fee and may be returned only to the original payment method or account.

Because all of our conferences and shows require advance payments to third-parties such as venues, producers, catering companies any cancellation requests received fewer than 30 calendar days before the Event are non-refundable. Credit vouchers to attend another event in the following year may be offered at SyllabusX's discretion. No-shows are not eligible for refunds.

As with marketing, networking, business-development, educational, and professional information services, no specific outcome is guaranteed. SyllabusX does not promise or guarantee sales, contracts, profits, leads, meetings, business opportunities, operational improvements, educational outcomes, policy changes, regulatory results, or other benefits from any Event. For commercial conferences, exhibitions, sponsorships, and expos, Participants understand that participation may support marketing, visibility, networking, or education, but SyllabusX cannot guarantee that any products or services will be purchased, sold, contracted, adopted, or recommended. Refunds will not be issued based on failure to obtain a desired business, marketing, educational, networking, or operational outcome.

If the original registered delegate is unable to attend, SyllabusX may permit a substitute delegate from the same organization at no additional charge, subject to eligibility verification, security requirements, payment status, and SyllabusX approval. Substitution requests should be sent to info@syllabusx.com with the original delegate's details and the proposed substitute's full name, title, organization, email address, telephone number, and any required registration information.

Refund, cancellation, and substitution rules may differ for sponsors, exhibitors, group registrations, complimentary registrations, hosted-buyer programs, discounted registrations, student registrations, virtual events, on-demand products, and event documentation orders. Some of these registrations or products require advance payments, third-party commitments, venue commitments, production commitments, or other obligations that SyllabusX incurs before the Event.

Event Access, Security, Safety, and Code of Conduct

All Participants must comply with these Terms, all Event rules, venue rules, platform rules, health and safety requirements, security instructions, staff instructions, and applicable laws. SyllabusX may deny entry, remove a Participant, suspend platform access, revoke credentials, cancel a Registration, or prohibit future participation without refund if SyllabusX determines that a Participant has violated these Terms or engaged in conduct that may disrupt the Event, harm others, violate law, damage property, compromise security, infringe rights, or damage SyllabusX's reputation.

Participants must conduct themselves professionally and respectfully. Prohibited conduct includes harassment, discrimination, intimidation, threats, abusive language, disorderly conduct, unsafe behavior, stalking, unwanted photography or recording, unauthorized solicitation, unauthorized sales, badge sharing, credential misuse, disruption of sessions, violation of venue or platform rules, possession of weapons where prohibited, property damage, unauthorized access, and any conduct SyllabusX determines to be inconsistent with the purpose or safety of the Event.

SyllabusX may conduct or require credential checks, bag checks, security screenings, platform access controls, identity verification, badge checks, and other security measures. Refusal to comply may result in denial of entry or removal without refund.

Participants should report safety, conduct, harassment, discrimination, security, or venue concerns to on-site SyllabusX staff, event security, the virtual platform moderator, or info@syllabusx.com.

Sponsors, exhibitors, vendors, suppliers, contractors, and any Participant attending, visiting, walking the event's space or bringing property, equipment, displays, products, samples, instruments, materials, tools, or personnel to an Event are responsible for maintaining appropriate insurance coverage for their own, and their own property, personnel, activities, products, services, and potential claims. SyllabusX is not responsible for harm, loss, theft, damage, or claims involving Participants or their property, personnel, contractors or leased items as well as the venue and its property or staff. Exhibitors and sponsors should obtain coverage as per the venue requirement. Standard coverage includes Exhibitor Insurance or Trade Show Insurance as well as general liability, booth property protection and event cancellation coverage.

Venue Rules and Guidelines

Most SyllabusX Events are held at hotels, conference centers, exhibition halls, universities, corporate facilities, public facilities, or other third-party venues. Each venue may have its own rules, regulations, policies, service requirements, safety standards, insurance requirements, security procedures, load-in and load-out requirements, union or labor rules, audiovisual rules, fire-safety rules, food-and-beverage rules, and facility-use guidelines. All Participants must comply with the applicable venue rules and any directions issued by venue staff, SyllabusX staff, security personnel, contractors, or authorized service providers.

Sponsors, exhibitors, speakers, vendors, suppliers, contractors, and other Participants who wish to order, use, install, operate, produce, distribute, serve, display, decorate, record, film, demonstrate, sample, or conduct any activity, product, service, or installation at an Event must coordinate as required with SyllabusX and the applicable venue. This includes, without limitation, activities or services involving video, audio, staging, rigging, electrical power, internet, lighting, signage, furniture, moving items, freight, decoration, floral ordering, food and beverage, alcoholic beverages, product sampling, catering, gift items, giveaways, cooking, demonstrations, drones, pyrotechnics, special effects, animals, vehicles, hazardous materials, heavy equipment, or any activity that may affect safety, property, facilities, operations, insurance, permits, or other Participants.

SyllabusX may announce or provide venue details, venue deadlines, exhibitor service manuals, hotel rules, contractor contacts, order forms, facility requirements, or other operational instructions before the Event. Participants are responsible for reviewing and following those instructions. Unless expressly authorized by SyllabusX and the venue in writing, Participants may not bring outside food or beverages, alter venue property, attach items to walls or surfaces, block aisles or exits, create fire or trip hazards, interfere with facility systems, conduct unauthorized filming or sound amplification, or use venue services in a manner that violates venue rules or applicable law.

SyllabusX is not responsible for a Participant's failure to comply with venue rules, venue deadlines, supplier rules, permit requirements, insurance requirements, or service-order requirements. If a Participant's conduct, materials, products, equipment, display, food or beverage offering, gift, activity, or service causes costs, fines, penalties, property damage, injury, disruption, denial of service, removal, delay, or other claims, that Participant is responsible for those consequences and must indemnify SyllabusX as described in these Terms.

Event Cancellation, Rescheduling, Format Changes, and Force Majeure

SyllabusX may cancel, postpone, reschedule, relocate, shorten, extend, or change the format of an Event in its sole discretion, including changing an in-person Event to a virtual or hybrid Event or changing a virtual Event platform. SyllabusX may also change or completely remove speakers, sessions, agendas, sponsors, exhibitors, venues, networking formats, meeting schedules, or other Event elements at any time.

If SyllabusX postpones or reschedules an Event within a reasonable period, including within 12 months after the originally scheduled Event date, SyllabusX may transfer your Registration to the rescheduled Event and convert fees paid into a non-refundable credit for that rescheduled Event. If SyllabusX permanently cancels an Event and does not reschedule, replace, or convert it to another format, SyllabusX may provide a refund or credit for paid Event registration fees, subject to any event-specific terms and applicable law.

SyllabusX is not responsible for travel costs, lodging costs, visa costs, missed transportation, lost wages, lost business opportunities, consequential losses, or other indirect costs resulting from Event cancellation, postponement, rescheduling, relocation, format change, agenda change, speaker change, venue change, platform change, or other Event modification. Participants are responsible for arranging appropriate travel, lodging, cancellation, and business-interruption insurance where desired.

SyllabusX will not be liable for failure or delay in performing its obligations where caused by events beyond its reasonable control, including acts of God, severe weather, natural disasters, fire, flood, earthquake, epidemic, pandemic, public-health emergency, disease outbreak, quarantine restriction, government action, sanctions, war, terrorism, civil unrest, labor dispute, strike, venue unavailability, supplier failure, transportation disruption, utility failure, internet outage, platform failure, cybersecurity incident, emergency, power outage, speaker cancellation, sponsor cancellation, exhibitor cancellation, or any other circumstance beyond SyllabusX's reasonable control.

Sponsor, Exhibitor, Partner, Badge-Scanning, and Networking Data Sharing

SyllabusX Events often include sponsors, exhibitors, speakers, vendors, partners, venues, service providers, hosted-buyer programs, networking opportunities, appointment-setting programs, event apps, digital platforms, and other Participants. Depending on the Event and your interactions, participation level, seniority, expertise or your organization size SyllabusX will make certain professional information available to these parties to operate the Event, facilitate networking, provide lead-retrieval services, schedule meetings, deliver sponsored content, fulfill sponsor or exhibitor benefits, support business development, provide customer service, and follow up on your expressed interests.

Professional information may include your name, title, organization, business address, business email address, telephone number, fax number, registration type, event interests, session selections, sessions attended, questions or survey responses, badge or QR-code interactions, appointment or meeting requests, event app activity, and other information you provide or generate through your Event participation. Participants may use this information to contact you or follow up with you according to their privacy and marketing policies.

If you allow your badge, QR code, ticket, business card, contact details, or event credential to be scanned, exchanged, tapped, photographed, submitted, or otherwise shared with a sponsor, exhibitor, speaker, partner, attendee, or other Event participant, you consent to SyllabusX sharing relevant contact, registration, professional, and Event-interaction information with that participant. That participant may use your information to contact you or follow up with you subject to its own privacy policy and applicable law. SyllabusX is not responsible for the privacy practices, marketing practices, products, services, claims, or communications of sponsors, exhibitors, partners, or other third parties.

Certain sponsored sessions, exhibitor areas, virtual booths, downloads, matchmaking programs, hosted-buyer meetings, networking tools, or third-party managed areas may require your information to be provided to the applicable sponsor, exhibitor, or third-party provider as a condition of access or participation. Where appropriate, SyllabusX may provide additional notices or choices during registration, at the Event, or within the Event platform.

Speaker, Moderator, MC, and Chairperson Terms

This Section applies to all speakers, panelists, moderators, masters of ceremonies, chairpersons, presenters, trainers, instructors, workshop leaders, and similar participants who contribute content, remarks, presentations, materials, or professional participation to a SyllabusX Event. If a speaker, moderator, MC, chairperson, presenter, or similar contributor signs a separate written agreement with SyllabusX, including a speaker agreement, MC agreement, moderator agreement, chairperson agreement, release, consent form, or event-specific participation agreement, that separate signed agreement will govern the applicable role and will supersede this Section to the extent of any direct conflict. If no such separate agreement is signed, this Section applies in addition to the rest of these Terms.

By accepting an invitation to speak, moderate, chair, present, train, or otherwise contribute to a SyllabusX Event, and by attending or participating in that Event, the contributor agrees to participate in the approved role and to coordinate with SyllabusX regarding the topic, title, format, timing, description, biography, headshot, organization affiliation, session objectives, and other Event-related details. The contributor understands that SyllabusX may promote the contributor's participation before, during, and after the Event.

Each contributor grants SyllabusX and its affiliates, contractors, licensees, successors, assigns, media partners, and authorized representatives a worldwide, royalty-free, transferable, sublicensable, perpetual, and irrevocable right and license to use, reproduce, display, publish, distribute, edit, crop, adapt, create excerpts from, and otherwise use the contributor's name, image, likeness, voice, biography, title, organization name, professional experience, organization association, approved topic, session description, presentation title, public statements, photographs, video, audio, recordings, livestreams, screenshots, promotional clips, and Event participation in connection with Event administration, Event marketing, SyllabusX marketing, promotional materials, websites, press releases, social media, emails, brochures, advertisements, sponsor materials, archival materials, educational materials, internal materials, and other business purposes that benefit SyllabusX or the Event.

Each contributor also grants SyllabusX the right to host, display, distribute, reproduce, summarize, excerpt, and make available any slides, handouts, papers, worksheets, templates, links, recordings, or other materials the contributor chooses to provide to SyllabusX or to Event Participants, unless SyllabusX has agreed in writing to different restrictions before the materials are provided. The contributor is not required to provide slides or handouts unless separately agreed, but materials voluntarily provided may be used by SyllabusX for Event-related and post-Event purposes.

Each contributor represents and warrants that the contributor's presentation, remarks, materials, slides, handouts, images, examples, data, statements, and other content are accurate to the contributor's knowledge, lawful, educational in nature unless SyllabusX has approved promotional content in advance, and do not infringe, misappropriate, or violate the intellectual-property, privacy, publicity, confidentiality, contractual, or other rights of any third party. Contributors must obtain all permissions, releases, licenses, and approvals required for third-party content included in their presentations or materials.

Unless SyllabusX approves otherwise in writing, presentations must be educational, professional, and relevant to the approved Event topic. Presentations may not be primarily promotional, misleading, unlawful, defamatory, discriminatory, harassing, or inconsistent with the professional purpose of the Event. SyllabusX may request edits, remove materials, adjust session descriptions, modify promotional language, decline to distribute materials, cancel a session, or withdraw a speaking role if SyllabusX determines that content or conduct is inconsistent with these Terms, the Event purpose, or applicable law.

Contributors agree to make reasonable efforts to network with attendees and respond to relevant Event-app interactions, speaker-profile requests, session-preparation requests, or organizer communications in a timely manner, including during the month before the Event where applicable. All contributors must obtain appropriate insurance coverage to cover any risks stemming from their participation. Any reimbursement, honorarium, travel support, complimentary registration, hotel arrangement, or other benefit is available only if expressly agreed in writing by SyllabusX and will be governed by the specific written terms agreed for that contributor.

SyllabusX is under no obligation to remove, recall, delete, edit, revise, replace, blur, restrict, or stop using any previously created or previously published media, marketing materials, promotional materials, websites, social posts, email campaigns, brochures, announcements, sponsor materials, Event programs, recordings, clips, photographs, videos, biographies, organization associations, session descriptions, presentations, handouts, slides, or other materials identifying or featuring a contributor's participation, including after the Event or after a contributor's role ends, unless SyllabusX expressly agrees otherwise in writing or applicable law requires a different result.

Intellectual Property and Event Materials

The Website, Event Materials, Event names, logos, trademarks, service marks, trade names, designs, text, graphics, photographs, videos, audio, recordings, software, digital platforms, databases, compilations, agendas, session descriptions, speaker materials, sponsor materials, exhibitor materials, and other content made available by SyllabusX are owned by SyllabusX or its licensors, speakers, sponsors, exhibitors, partners, or suppliers and are protected by intellectual-property and other laws.

You may access and use Event Materials solely for your personal, internal business, educational, or professional reference purposes, unless SyllabusX expressly authorizes another use in writing. You may not copy, reproduce, distribute, sell, license, publish, livestream, broadcast, transmit, scrape, frame, mirror, modify, create derivative works from, upload, download in bulk, or otherwise exploit the Website, Event Materials, recordings, sessions, attendee lists, directories, sponsor lists, exhibitor lists, speaker materials, or other SyllabusX content without prior written permission from SyllabusX or the applicable rights holder.

All rights not expressly granted are reserved.

Photography, Audio, Video, Livestreaming, and Media Release

By attending or participating in a SyllabusX Event, whether in person, online, or hybrid, you acknowledge that photographs, audio recordings, video recordings, livestreams, screenshots, transcripts, and other recordings may be captured by SyllabusX, its contractors, media partners, sponsors, exhibitors, or authorized representatives and as such you grant SyllabusX and its affiliates, contractors, licensees, successors, assigns, and authorized representatives a worldwide, royalty-free, perpetual, irrevocable right and license to record, photograph, film, livestream, display, publish, reproduce, edit, distribute, and otherwise use your name, image, likeness, voice, statements, organization name, title, and participation in Event-related media for Event administration, marketing, promotional, archival, educational, editorial, internal, and business purposes, without further notice or compensation.

SyllabusX may continue to use previously captured, created, or published Event media, marketing materials, promotional materials, announcements, websites, social posts, emails, brochures, Event programs, recordings, clips, photographs, videos, speaker profiles, sponsor profiles, and other materials that identify or feature Participants, including after an Event has ended.

Unauthorized photography, filming, livestreaming, audio recording, video recording, screenshots, copying, distribution, publication, republication, or broadcast of Event sessions, speaker materials, sponsor materials, exhibitor materials, attendee interactions, private meetings, online platform content, or Event Materials is prohibited without SyllabusX's prior written permission. SyllabusX may revoke credentials, remove Participants, disable platform access, or pursue other remedies for unauthorized recording or distribution.

If you have a specific concern regarding photography, video, or recording, you must contact info@syllabusx.com before the Event.

Privacy Notice and Customer Information Use

This Section provides a summary of how SyllabusX may collect, use, disclose, and protect personal and professional information. SyllabusX may also publish a separate Privacy Policy. If a separate Privacy Policy is published, it is incorporated into these Terms by reference and should be reviewed together with these Terms.

SyllabusX may collect information you provide directly, information generated through Event participation, information collected automatically through the Website or digital platforms, and information received from third parties such as employers, group registrants, sponsors, exhibitors, partners, service providers, public sources, marketing providers, and event platforms.

SyllabusX and its events, affiliates, authorized vendors, and suppliers may use information to process registrations and payments, provide Event access, issue badges and credentials, operate Events, deliver services, provide customer support, respond to inquiries, send confirmations and Event updates, facilitate networking, support sponsor and exhibitor participation, provide lead-retrieval services, manage hosted-buyer or meeting programs, conduct surveys, provide documentation, personalize communications, improve the Website and Events, analyze business performance, market SyllabusX Events and services, comply with legal obligations, fulfill sponsors and exhibitors contracted benefits, attract participants, protect safety and security, prevent fraud, and enforce these Terms.

SyllabusX may share professional, registration, contact, and Event-interaction information with sponsors, exhibitors, speakers, partners, attendees, service providers, and other Event participants as described in these Terms, including where you scan or share your badge, attend sponsored sessions, participate in networking tools, or otherwise interact with Event participants.

SyllabusX may disclose information to service providers, payment processors, CRM providers, email and SMS providers, fax providers, event platforms, badge and lead-retrieval providers, website hosting providers, analytics providers, venues, hotels, security providers, transportation or logistics providers, sponsors, exhibitors, partners, speakers, attendees, professional advisers, insurers, government authorities, courts, regulators, and other parties where reasonably necessary for the purposes described in these Terms, where you direct or permit disclosure, or where required or permitted by law.

SyllabusX uses reasonable administrative, technical, and physical safeguards designed to protect information. However, no website, system, transmission, storage method, venue, or platform can be guaranteed to be completely secure. You are responsible for protecting your credentials, devices, and communications.

SyllabusX retains information for as long as reasonably necessary for registration, Event operations, customer service, marketing, legal, accounting, audit, tax, security, dispute-resolution, recordkeeping, and its own business purposes, unless a longer retention period is required or permitted by law.

Cookies, Analytics, and Tracking Technologies

SyllabusX and its service providers may use cookies, pixels, tags, web beacons, analytics tools, advertising technologies, and similar technologies to operate the Website, remember preferences, analyze traffic, measure campaign performance, understand user behavior, improve Events and services, personalize content, and support marketing or retargeting activities.

Opting Out of Marketing Communications

SyllabusX will process opt-out requests as soon as reasonably practicable. It may take time for changes to become effective across all systems, vendors, and campaigns. If SyllabusX has already disclosed your information to a sponsor, exhibitor, partner, attendee, speaker, or other third party as described in these Terms, you may need to contact that third party directly regarding its separate communications.

Opting out of marketing communications does not opt you out of transactional or service-related communications, including registration confirmations, invoices, receipts, Event logistics, Event safety notices, customer-service responses, legal notices, or other non-marketing communications.

Third-Party Websites, Services, Venues, Sponsors, and Platforms

The Website and Events may include links, integrations, references, materials, offers, sessions, booths, hosted areas, downloads, platforms, or services provided by third parties, including sponsors, exhibitors, venues, hotels, payment processors, event platforms, analytics providers, advertisers, speakers, partners, and social media platforms. SyllabusX does not control and is not responsible for third-party websites, platforms, content, products, services, privacy practices, security practices, marketing practices, statements, or conduct.

Your interactions with third parties are solely between you and the applicable third party. You should review the third party's terms, privacy policy, and other applicable rules before providing information, making purchases, downloading materials, scanning badges, scheduling meetings, ordering venue services, or interacting with that party.

Media, Press, and Public Communications

Unless SyllabusX grants prior written approval, Participants may not attend an Event as press or media representatives, record or disseminate Event content for publication, conduct interviews, livestream sessions, publish confidential or restricted materials, or represent that they are authorized to report on or distribute Event content.

Participants may be asked to present photo identification, business identification, media credentials, or SyllabusX-issued approval before conducting any media activity. Failure to comply may result in denial of entry, removal from the Event, revocation of credentials, and forfeiture of fees.

Purchases, Orders, and Sales on Exhibit Floors

SyllabusX may prohibit over-the-counter sales, retail transactions, cash-and-carry sales, or other onsite sales activity by exhibitors unless expressly authorized for a specific Event. Where exhibitor sales are permitted, they are subject to exhibitor agreements, venue rules, tax requirements, payment rules, safety rules, and applicable law.

SyllabusX is not responsible for products or services offered, sold, demonstrated, promoted, or delivered by exhibitors, sponsors, vendors, speakers, partners, or other third parties.

Direct Competitors and Competitive Use

You may not access the Website, register for an Event, attend an Event, obtain Event Materials, sign up for news or marketing materials, make inquiries, use attendee lists, or participate in SyllabusX services for the purpose of monitoring, benchmarking, copying, evaluating, reverse engineering, competing with, or otherwise analyzing SyllabusX's services, products, operations, content, event formats, pricing, sponsors, exhibitors, attendees, speakers, data, or business practices without SyllabusX's prior written consent.

SyllabusX may deny or revoke access by any direct competitor or by any person or organization SyllabusX reasonably believes is acting for a competitive, unauthorized, deceptive, or improper purpose.

Website Use and Prohibited Conduct

You agree not to misuse the Website or any SyllabusX digital platform. Prohibited conduct includes unauthorized access, scraping, data mining, harvesting contact information, interfering with Website operations, uploading malicious code, attempting to bypass security measures, impersonating others, submitting false information, violating intellectual-property rights, using the Website for unlawful purposes, or using SyllabusX content or data for unsolicited marketing, competitive intelligence, or unauthorized commercial purposes.

SyllabusX may suspend or terminate access to the Website or digital platforms if it determines that you have violated these Terms or applicable law.

Disclaimers

The Website, Events, Event Materials, speaker statements, sponsor materials, exhibitor materials, third-party content, and services are provided on an "as is" and "as available" basis to the fullest extent permitted by law. SyllabusX does not guarantee that the Website, Events, platforms, Event Materials, or third-party services will be uninterrupted, error-free, secure, accurate, complete, current, or suitable for any particular purpose.

Event speakers, sponsors, exhibitors, attendees, and third parties are responsible for their own statements, materials, products, services, and conduct. SyllabusX does not endorse or guarantee third-party claims, advice, products, services, employment opportunities, investment opportunities, business opportunities, regulatory interpretations, professional recommendations, or technical information presented at or through Events unless SyllabusX expressly states otherwise in writing.

Limitation of Liability

To the fullest extent permitted by law, SyllabusX and its affiliates, officers, directors, employees, contractors, agents, representatives, successors, assigns, licensors, suppliers, venues, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or economic damages, including lost profits, lost revenues, lost savings, loss of business opportunity, loss of goodwill, loss of data, travel expenses, lodging expenses, replacement costs, or other consequential losses arising out of or related to the Website, Events, Registrations, Event Materials, third-party services, Event changes, cancellations, postponements, venue issues, platform issues, security issues, or these Terms, even if advised of the possibility of such damages.

To the fullest extent permitted by law, SyllabusX's total liability for any claim arising out of or related to the Website, Events, Registrations, Event Materials, third-party services, or these Terms will not exceed the amount actually paid by you to SyllabusX for the specific Event or service giving rise to the claim. Some jurisdictions do not allow certain exclusions or limitations of liability, so some limitations may not apply to you.

Assumption of Risk

You acknowledge that participating in in-person, virtual, and hybrid Events involves risks, including travel risks, health risks, security risks, venue risks, technology risks, cybersecurity risks, illness, personal injury, property loss, business interruption, and risks associated with interacting with other Participants, sponsors, exhibitors, vendors, venues, or third parties. You voluntarily assume all risks associated with your participation, except to the extent caused by SyllabusX's conduct that cannot be disclaimed under applicable law.

SyllabusX does not assume responsibility for protecting the person or property of Participants or guests from theft, loss, damage, injury, illness, fire, accident, emergency, cybersecurity incident, or other cause. Any security services, safety procedures, or venue controls are provided for Event administration and do not create a guarantee of safety or impose liability on SyllabusX beyond what applicable law requires.

Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless SyllabusX and its affiliates, officers, directors, employees, contractors, agents, representatives, successors, assigns, venues, and service providers from and against any claims, demands, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: your breach of these Terms; your Event participation; your misuse of the Website, Event Materials, badges, credentials, platforms, or attendee information; your violation of law; your violation of third-party rights; your negligent, fraudulent, willful, or wrongful conduct; your unauthorized recording, distribution, or publication of Event content; your products, services, displays, statements, presentations, handouts, slides, content, materials, equipment, food or beverage offerings, gifts, samples, or activities if you are a sponsor, exhibitor, vendor, supplier, speaker, moderator, chairperson, contractor, or other participant; or claims caused by your use of Event facilities, venues, or platforms.

SyllabusX reserves the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with SyllabusX's defense.

Suspension, Removal, and Termination

SyllabusX may suspend, revoke, or terminate your access to the Website, Event, Event Materials, platform, badge, credential, Registration, speaker role, sponsor benefit, exhibitor benefit, attendee benefit, or other Event benefit if SyllabusX determines that you have violated these Terms, violated Event rules, failed to pay required fees, provided inaccurate information, engaged in unsafe or improper conduct, violated law, infringed rights, disrupted an Event, or harmed SyllabusX, another Participant, a sponsor, an exhibitor, a venue, or a third party.

Removal, suspension, revocation, or termination may occur without refund where permitted by law.

Governing Law, Venue, and Disputes

These Terms and any dispute arising out of or related to the Website, Events, Registrations, Event Materials, or SyllabusX services will be governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles.

You and SyllabusX agree that the state and federal courts located in or serving Fairfax County, Virginia will have exclusive jurisdiction and venue over any dispute arising out of or related to these Terms, the Website, Events, Registrations, Event Materials, Speaker Agreement, venue rules, or SyllabusX services directly or indirectly impacting any Participant. You and SyllabusX consent to personal jurisdiction in those courts.

Each party agrees to make a good-faith effort to resolve the dispute informally by providing written notice describing the dispute and allowing the other party a reasonable opportunity to respond. Notices to SyllabusX should be sent to info@syllabusx.com and to the mailing address listed in these Terms.

Severability, No Waiver, Assignment

If any provision of these Terms is held invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid, unlawful, or unenforceable provision will be replaced or interpreted to achieve the original intent as closely as possible to the fullest extent permitted by law.

SyllabusX's failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. You may not assign or transfer your rights or obligations under these Terms without SyllabusX's prior written consent. SyllabusX may assign or transfer its rights and obligations in connection with a merger, acquisition, restructuring, sale of assets, change of control, affiliate transfer, or by operation of law.
